These Terms and Conditions of Website Use (“Terms”) constitute a binding agreement between you and Synchronistic Alignment LLC, a Utah limited liability company (“Synchronistic Alignment,” “Company,” “we,” “us,” or “our”), governing your access to and use of the Company’s website located at www.synchronisticalignment.com, including its landing pages, content, email-list forms, and related features (collectively, the “Site”).

Article 1 — Acceptance and Eligibility

I.  Acceptance. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you do not agree, you must not access or use the Site.

II.  Eligibility. You represent that you are at least 13 years old and possess the legal capacity to agree to these Terms. If applicable law requires parental or guardian consent, you may use the Site only with that consent.

Article 2 — Site Purpose and Email List

I.  Current Purpose. The Site currently provides general information about the Company and permits visitors to submit an email address to join the Company’s email list. The Site does not currently offer products or services, but will in the future.

II.  Email Communications. By voluntarily submitting your email address through the Site and completing any required consent mechanism, you request and consent to receive newsletters, announcements, promotional materials, and other electronic communications from the Company.

III.  Unsubscribe Rights. You may withdraw consent to marketing emails by using the unsubscribe mechanism included in the applicable message or contacting the Company at info@synchronisticalignment.com.

IV.  No Third-Party Enrollment. You may submit only an email address that belongs to you or that you are authorized to use. You may not enroll another person without that person’s authorization or use the Site to send unsolicited communications.

V. No Guaranteed Communications. The Company does not warrant that any particular communication will be sent, received, delivered without delay, or remain available.

Article 3 — Privacy

The Company’s Privacy Policy describes its practices concerning personal information and is incorporated into these Terms by reference. If a conflict exists between these Terms and the Privacy Policy concerning the processing of personal information, the Privacy Policy controls to the extent of that conflict.

Article 4 — Limited License and Intellectual Property

I.  Ownership. The Site and all text, graphics, logos, designs, photographs, audiovisual materials, software, code, interfaces, compilations, and other content made available through it (collectively, “Content”) are owned by or licensed to the Company and are protected by applicable intellectual-property and proprietary-rights laws.

II.  Limited License. Subject to these Terms, the Company grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to access and use the Site and Content solely for your personal, lawful, noncommercial purposes.

III.  Restrictions. You may not, without the Company’s prior written consent:

A.  Copy, reproduce, republish, distribute, display, transmit, modify, translate, adapt, create derivative works from, sell, license, or commercially exploit the Site or Content;

B.  Remove, obscure, or alter any copyright, trademark, attribution, or proprietary notice;

C.  Frame, mirror, scrape, index, harvest, or systematically extract Site data or Content;

D.  Reverse engineer, decompile, disassemble, or attempt to discover source code, except to the limited extent a restriction is prohibited by law; or

E.  Use the Company’s names, trademarks, service marks, logos, or branding without prior written permission.

IV.  Reservation of Rights. All rights not expressly granted under these Terms are reserved by the Company and its licensors. No implied license arises from your access to the Site.

V. Feedback. If you voluntarily provide ideas, suggestions, or other feedback concerning the Site or the Company, you grant the Company a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use and exploit that feedback for any lawful purpose, without compensation or attribution.

I.  Harvest email addresses or other information from the Site;

J.  Use the Site to transmit spam, chain letters, unsolicited promotions, or unlawful communications; or

K.  Encourage, assist, or permit another person to engage in prohibited conduct.

II.  Enforcement. The Company may investigate suspected violations and may restrict, suspend, or terminate access; preserve relevant information; and cooperate with lawful governmental requests. The Company has no obligation to monitor Site use.

Article 6 — Informational Nature; No Professional Relationship

I.  General Information Only. The Site and Content are provided solely for general informational and promotional purposes. They do not constitute legal, financial, tax, medical, mental-health, therapeutic, investment, or other professional advice.

II.  No Reliance. You are solely responsible for evaluating the accuracy, completeness, usefulness, and suitability of any information available through the Site and for obtaining appropriate professional advice before acting or refraining from acting.

III.  No Relationship. Accessing the Site, joining the email list, or communicating with the Company does not, by itself, create a fiduciary, professional, advisory, employment, partnership, joint-venture, agency, or other special relationship.

IV.  Future Offerings. Any future product, service, subscription, event, account, community feature, or transaction may be subject to supplemental terms presented when that offering becomes available.

Article 7 — Third-Party Materials

I.  Third-Party Services. The Site may contain links to, integrations with, or content supplied by third parties. Such materials are provided for convenience only and do not constitute the Company’s endorsement, sponsorship, warranty, or control of the third party.

II.  Independent Terms. Your use of third-party websites and services is at your own risk and subject to the third party’s terms and policies. The Company is not responsible for third-party availability, accuracy, security, privacy practices, conduct, products, services, or content.

Article 8 — Disclaimer of Warranties

I.  As-Is Provision. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, COMMUNICATIONS, AND FUNCTIONALITY ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND.

II.  Disclaimed Warranties. THE COMPANY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE “COMPANY PARTIES”) DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, AND COURSE OF DEALING OR USAGE OF TRADE.

III.  No Operational Warranty. THE COMPANY PARTIES DO NOT WARRANT THAT THE SITE OR COMMUNICATIONS WILL BE ACCURATE, COMPLETE, CURRENT, SECURE, UNINTERRUPTED, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR COMPATIBLE WITH ANY DEVICE OR SYSTEM, OR THAT DEFECTS WILL BE CORRECTED.

IV.  Mandatory Rights. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Article 9 — Assumption of Risk and Release

I.  Assumption of Risk. You assume the risks associated with internet use, electronic communications, reliance on general information, third-party services, unauthorized access, and interruption or loss of data.

II.  Release. To the maximum extent permitted by law, you release and discharge the Company Parties from claims, demands, liabilities, losses, and causes of action arising from or relating to:

A.  Your reliance on or use of the Site, Content, or Company communications;

B.  Your dealings with third parties identified through or linked from the Site;

C.  Unauthorized access to or alteration of information, except to the extent directly caused by conduct for which liability cannot lawfully be excluded; and

D.  Acts or omissions of third parties outside the Company’s reasonable control.

III.  Nonwaivable Claims. This release does not apply to claims or liabilities that cannot lawfully be released.

Article 10 — Limitation of Liability

I.  Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY PARTIES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, USE, OR DATA; BUSINESS INTERRUPTION; OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

II.  Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY PARTIES’ AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED HE AMOUNT, IF ANY, YOU PAID DIRECTLY TO THE COMPANY SPECIFICALLY FOR USE OF THE SITE DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

III.  Allocation of Risk. The disclaimers, releases, and limitations in these Terms constitute an essential allocation of risk and apply notwithstanding the failure of any limited remedy’s essential purpose.

IV.  Exceptions. These limitations do not exclude liability to the extent exclusion is prohibited by applicable law.

Article 11 — Indemnification

To the maximum extent permitted by law, you shall defend, indemnify, and hold harmless the Company Parties from and against third-party claims, actions, proceedings, liabilities, judgments, damages, losses, penalties, costs, and reasonable professional fees arising out of or relating to:

A.  Your access to or misuse of the Site;

B.  Your violation of these Terms or applicable law;

C.  Information or material you submit through the Site;

D.  Your infringement or violation of another person’s rights; or

E.  Your fraud, willful misconduct, or unauthorized enrollment of another person.

The Company may assume control of the defense of a matter subject to indemnification, in which event you shall reasonably cooperate and may not settle the matter in a manner that admits fault by, imposes obligations on, or fails to unconditionally release a Company Party without the Company’s prior written consent.

Article 12 — Site Availability and Changes

I.  Changes to Site. The Company may modify, suspend, restrict, replace, or discontinue any portion of the Site or Content at any time, with or without notice, and without liability.

II.  Maintenance and Interruptions. Site availability may be affected by maintenance, technical failures, third-party services, security events, force majeure, or other circumstances. The Company has no obligation to maintain the Site or preserve particular Content.

III.  Access Restrictions. The Company may block or terminate your access if it reasonably believes you violated these Terms, created legal or security risk, or used the Site in a manner harmful to the Company or others.

Article 13 — Governing Law and Forum

I.  Governing Law. These Terms and all disputes arising out of or relating to the Site or these Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles.

II.  Exclusive Forum. Subject to any nonwaivable right under applicable law, each party irrevocably submits to the exclusive jurisdiction of the state and federal courts located in Utah County, Utah, for any action arising out of or relating to the Site or these Terms, and waives any objection based on venue or inconvenient forum.

III.  Equitable Relief. Unauthorized use of the Site, Content, intellectual property, or systems may cause harm for which monetary damages are inadequate. The Company may seek temporary, preliminary, or permanent equitable relief in any court of competent jurisdiction, without limiting other available remedies.

IV.  Individual Claims. To the maximum extent permitted by law, you and the Company agree to bring claims only in an individual capacity and not as a plaintiff or class member in a purported class, consolidated, coordinated, collective, or representative proceeding.

Article 14 — Changes to These Terms

The Company may revise these Terms by posting the revised version on the Site and updating the “Last Updated” date. Material changes will apply prospectively from the stated effective date. Your continued use of the Site after revised Terms become effective constitutes acceptance of those Terms. If you do not accept a revision, you must stop using the Site.

Article 15 — Miscellaneous

I.  Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and the Company concerning the Site and supersede prior or contemporaneous communications concerning that subject.

II.  Severability. If any provision is held invalid or unenforceable, it shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in effect.

III.  No Waiver. A failure or delay in enforcing a provision is not a waiver. A waiver is effective only if in writing and applies only to the specified instance.

IV.  Assignment. You may not assign or transfer these Terms without the Company’s prior written consent. The Company may assign these Terms in connection with a reorganization, merger, financing, sale of assets, or transfer of the Site or relevant business operations.

V. No Third-Party Beneficiaries. Except for the Company Parties entitled to protections under these Terms, these Terms create no third-party beneficiary rights.

VI.  Survival. Provisions that by their nature should survive termination or discontinued use shall survive, including provisions concerning intellectual property, disclaimers, releases, limitations of liability, indemnification, governing law, forum, and miscellaneous terms.

VII.  Electronic Communications. You consent to receive notices and communications electronically. Electronic notices satisfy any requirement that a communication be in writing, except where applicable law requires another method.

VIII.  Headings. Headings are for convenience only and do not affect interpretation.

IX.  Contact. Questions concerning these Terms may be directed to:
